1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Jupiter Vector, LLC ("Company," "we," "us," or "our") governing your access to and use of our website and software engineering services.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

Jupiter Vector provides software engineering and development services on a subscription basis. Our services include but are not limited to:

  • MVP and product development
  • Web and mobile application development
  • API development and integrations
  • Technical architecture and consulting
  • UI/UX design
  • DevOps and infrastructure setup
  • Ongoing maintenance and support

3. Subscription Terms

3.1 Subscription Plans

We offer various subscription plans with different levels of service. The specific terms, pricing, and deliverables for each plan will be outlined in your service agreement.

3.2 Billing

Subscriptions are billed monthly in advance. Payment is due upon receipt of invoice. We accept major credit cards and bank transfers.

3.3 Pause and Cancel

You may pause or cancel your subscription at any time. Paused subscriptions will retain unused time. Cancellations are effective at the end of the current billing period. No refunds are provided for partial months, except as outlined in Section 4.

4. Satisfaction Guarantee

If you are not satisfied with our services within the first two weeks of your initial subscription, we will work with you to address your concerns. If we cannot resolve the issues to your satisfaction, we will provide a prorated refund for the unused portion of your first month.

5. Intellectual Property

5.1 Client Ownership

Upon full payment for services rendered, you own all rights, title, and interest in and to the custom code, designs, documentation, and other deliverables created specifically for you as part of our services ("Client Materials").

5.2 Pre-Existing Materials

We retain ownership of any pre-existing tools, libraries, frameworks, or methodologies that we use in providing services. We grant you a non-exclusive, perpetual license to use such materials as incorporated into your deliverables.

5.3 Third-Party Materials

Deliverables may include third-party open-source software or libraries. Such materials remain subject to their respective licenses.

6. Client Responsibilities

You agree to:

  • Provide timely feedback, approvals, and information necessary for project progress
  • Ensure that any materials you provide do not infringe on third-party rights
  • Maintain confidentiality of any proprietary information shared with you
  • Pay all fees in accordance with the agreed payment terms
  • Use our services only for lawful purposes

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement. This includes but is not limited to business plans, technical specifications, customer data, and financial information.

Confidentiality obligations survive termination of services for a period of two (2) years.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUPITER VECTOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We are not responsible for any delays, failures, or errors caused by factors outside our reasonable control.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jupiter Vector and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content or materials you provide to us

11. Termination

Either party may terminate the service agreement with written notice. Upon termination:

  • You remain responsible for payment for all services rendered up to the termination date
  • We will provide you with all completed deliverables and work in progress
  • We will transfer any code repositories, credentials, and documentation to you
  • Both parties must return or destroy any confidential information of the other party

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the state or federal courts located in Delaware.

13. Dispute Resolution

Before initiating any legal action, both parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with any service agreements, constitute the entire agreement between you and Jupiter Vector regarding our services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
